SEAPORT SUBCHAPTER
CONSTITUTION
ARTICLE I - NAME
The name of this organization shall be Seaport Idaho Subchapter of the International Association of Personnel in Employment Security.
ARTICLE II - OBJECTIVES
The objectives of this organization shall be:
l) To further the objectives of the Idaho Chapter as stated in the Idaho Chapter Constitution, by encouraging more activity on the Subchapter level.
2) To promote the growth of personal association among Department of Employment employees performing duties pertaining to all employment services and unemployment insurance functions, and to provide a forum for discussion and better understanding of problems and methods related to Department of Employment functions at both the State and Subchapter levels.
ARTICLE III - MEMBERSHIP
Membership shall be limited to Idaho Chapter paid-up members residing in Seaport, except that any person holding an honorary, associate, or other type of membership in the State Chapter will be eligible for comparable membership in the Subchapter. Idaho Chapter members are automatically membmrs of District XIV.
The right to vote, make or second motions, place names in nomination, hold office, or serve on committees shall be limited to active members.
ARTICLE IV - OFFICERS & EXECUTIVE BOARD
The officers of the Subchapter shall be a duly elected President, Vice President, and a Secretary-Treasurer. Subchapter officers shall serve a two-year term.
There shall be an Executive Board composed of one member from each local office in the Subchapter, the President, Vice-President and the Secretary-Treasurer. Each local office shall select its Executive Board member in a manner of its choosing.
ARTICLE V - DUTIES OF OFFICERS
1) The Subchapter President shall preside over all Subcbapter meetings, provide leadership for all Subchapter activities, and enforce strict observance of and adherence to all provisions of this Constitution and Bylaws. He/she shall be responsible for dissemination of all Chapter business, be responsible for keeping the Seaport Subchapter Handbook up to date and keep members informed of current events and matters of interest to the membership.
2) The Vice-President shall act for the President in all capacities in the absence of the President. In the absence of the President and Vice-President, one of the Board Members shall be chosen by the Executive Board to perform such duties.
3) The Secretary-Treasurer shall document into permanent record file a transcript of all Subchapter meetings, and maintain a permanent file of said Subchapter business. He/She shall keep a register of membership, shall collect dues and assessments, disburse funds at the direction of the President, and maintain a current accounting of the financial transactions. All Subchapter records and accounts will be delivered to a succeeding Secretary-Treasurer.
4). The Executive Board shall have supervisory powers over the activities of the Subchapter and shall hold meetings subject to the request of the President.
ARTICLE VI - SELECTION OF DELEGATES AND ALTERNATES TO THE STATE CONVENTION
Article VI of the Idaho Chapter I.A.P.E.S. Constitution and Bylaws is specific in outlining procedures for determining total Subchapter delegate strength at State Chapter Conventions by setting up a specific quota for each subchapter based upon paid-up members in good standing withing each subchapter. However, there is no specific procedure outlined in the State Constitution and Bylaws to determine which qualified members of each subchapter shall be deemed to be delegates or alternates. In order to clarify this situation, the following shall apply in Seaport Subchapter: Delegates will be appointed by the Executive Board.
BYLAWS
ARTICLE I - MEETINGS
Meetings of the subchapter shall be held once each calendar quarter upon call by the President, who shall notify the local office represenative, who in turn will notify local office members of such meetings. The location established at the previous meeting. Special meetings may be called at the discretion of the President.
ARTICLE II- QUORUM
Twenty-five percent (25%) of the active members of the subchapter constitutes a quorum at any quarterly or special meeting. A simple majority of the members of'the Executive Board shall constitute a quorum of the Board.
ARTICLE III -COMMITTEES
The following standing committees shall be appointed by the President no later than 30 days after he takes office. Each committee shall consist of three members, with not more than one member on a committee from any single office.
1) Project and Activity Committee, chaired by the President.
2) Membership Committee, chaired by the Vice President.
The President may from tine to time appoint special committees for the benefit of the subchapter.
ARTICLE IV - AMENDMENTS
Each proposed amendment to this Constitution and Bylaws of the Association shall be submitted by the President to the membership thirty days prior to a vote.
ARTICLE V - RESOLUTIONS
Any active member may submit resolutions to the Executive Board, which will review, study, and present such resolutions to the proper body with its recommendations. All resolutions presented will be duly presented for membership action.
ARTICLE VI - ELECTIONS
1) The Seaport Subchapter Officers shall be elected for a two-year term, to take office on July 1, following their election. Seaport Subchapter elections shall be held on even-numbered years.
2) Seaport Subchapter elections will be held at least 30 days, and not more than 60 days, prior to the annual Idaho Chapter convention in a election year.
3) Voting shall be by secret ballot. A simple majority of the votes cast shall constitute election.
4) If, at any time, one name only is placed in nomination for office, the President may direct the Secretary-Treasurer to cast a unanimous ballot for that candidate.
5) In the event the office of President becomes vacant before the end of his term, the Vice-President shall succeed to the office of President. In the event the office of Vice-President or Secretary-Treasurer becomes vacant, the President shall appoint from the membership a successor to fill the unexpired term.
6) The President may appoint any committee necessary to carry on the business of the organization, including a nominations committee.
ARTICLE VII - PROJECT AND ACTIVITY COMMITTEE
This committee is charged with the responsibility of developing and conducting Subchapter projects and activities in which all members of the Subchapter may participate. Such projects and activities will be conducted for the purpose of furthering professional competence and educational advancement of Department of Employment employees and the self-improvement of the individual. Such projects and activities will require the approval of the Executive Board.
ARTICLE VIII - MEMBERSHIP FEE
A membership fee of $1.00 will be assessed from all members of the Subchapter be used for Subchapter activities. Any member in arrears for such dues on July 1 of any year shall be dropped from membership until such time dues are paid. Any dues shall be paid to the Secretary-Treasurer, except that the Secretary-Treasurer may delegate a local office represenative to collect said dues.
ARTICLE IX - RULES OF ORDER
Robert's Rules of Order revised shall govern the proceedings of all meetings of this subchapter.
ARTfCLE X - RATIFICATION AND ADOPTION
This Constitution and Bylaws does hereby supersede and nullify any and all previous Constitutions and/or Bylaws of this Subchapter Association, and does hereby take effect upon approval by a two-thirds majority of the membership.
